Terms of Service

By creating a Spotlink Business account, submitting a business listing, using a Spotlink referral link or QR code, purchasing or requesting a paid placement, or accessing the Spotlink Business dashboard, you agree to these Business Terms.

These Business Terms apply in addition to the general Spotlink Terms of Service. If there is a conflict between the general Spotlink Terms and these Business Terms for business services, these Business Terms control for the business services.

1. Spotlink Business

Spotlink Business helps local businesses appear near driver arrival, parking, and curb-intent moments through tools such as business listings, SpotMap visibility, QR referral links, QR posters, Spotlight placements, activation zones, partner campaigns, and business analytics.

Spotlink Business is designed for businesses that want to reach nearby drivers, including restaurants, cafes, driving schools, auto services, law firms, insurance providers, retail shops, local services, and other approved businesses.

2. Authorized Business Representative

By creating or managing a Spotlink Business account, you represent and warrant that:

  • You are at least 18 years old.
  • You have authority to represent the business you submit.
  • The business information you provide is accurate and lawful.
  • You have permission to use any business name, logo, address, phone number, website, images, offers, and marketing materials you submit.
  • Your use of Spotlink Business will not violate any law, contract, platform rule, or third-party right.
  • Spotlink may request verification of business authorization at any time.

3. Business Listings

You are responsible for the accuracy of your business listing, including business name, address, phone number, website, hours, categories, descriptions, photos, logos, offers, and other submitted information.

Spotlink may approve, reject, edit, pause, remove, or limit a listing if we believe the listing is inaccurate, misleading, unsafe, unlawful, duplicative, low quality, harmful to users, harmful to the Spotlink brand, or otherwise inappropriate for the platform.

Spotlink does not guarantee that any listing will appear in a specific position, category, zone, search result, map view, or driver experience.

4. No Guaranteed Results

Spotlink may provide exposure, placement, referral tools, analytics, or promotional support, but we do not guarantee:

  • App installs.
  • Call button taps.
  • Directions.
  • Website visits.
  • Store visits.
  • Leads.
  • Sales.
  • Revenue.
  • Customer volume.
  • Ranking.
  • Impressions.
  • Conversions.
  • Parking availability.
  • Driver behavior.
  • Ticket prevention.
  • Any specific business outcome.
  • Any estimates, examples, projections, case studies, or past results are informational only and do not guarantee future performance.

5. QR Codes, Referral Links, and Posters

Spotlink may provide businesses with QR codes, referral links, posters, flyers, decals, digital assets, or other marketing materials.

You may display approved Spotlink materials at your business location, on your website, in emails, in newsletters, on social media, or in other approved business communications.

You may not:

  • Alter Spotlink materials in a misleading way.
  • Remove required disclaimers.
  • Claim that Spotlink guarantees parking, avoids all tickets, cancels tickets, or provides legal advice.
  • Use Spotlink materials for fake, fraudulent, spammy, or misleading traffic.
  • Sell, rent, or transfer your QR code or referral link without Spotlink’s written permission.
  • Use Spotlink materials in connection with unlawful, unsafe, or prohibited activity.
  • Spotlink may disable, replace, or revoke QR codes and referral links at any time if misuse, fraud, quality issues, or brand risk is detected.

6. Referral Program

Spotlink may offer a business referral program under which approved businesses may earn referral compensation for qualified app installs generated through their approved QR code or referral link.

Unless otherwise stated in writing by Spotlink, the standard referral amount is $1 per qualified app install.

A “qualified app install” means an app install that Spotlink determines, in its sole reasonable discretion, is legitimate, unique, non-fraudulent, and attributable to the approved business QR code or referral link.

The following are not qualified app installs:

  • Self-installs by the business owner, staff, contractors, or related parties intended to manipulate payouts.
  • Duplicate installs.
  • Bot activity.
  • Paid install farm traffic.
  • Incentivized installs not approved by Spotlink.
  • Fake accounts.
  • Fraudulent devices or manipulated attribution.
  • Installs generated through spam, deception, misleading claims, or unauthorized advertising.
  • Installs that are reversed, removed, invalidated, or rejected by app stores, analytics systems, fraud systems, or Spotlink review.
  • Spotlink may review, delay, reject, reverse, or withhold referral payouts if we suspect fraud, abuse, duplicate attribution, invalid installs, low-quality traffic, policy violations, technical errors, or manipulation.
  • Referral payouts, if available, are calculated based on Spotlink’s internal analytics, attribution systems, and fraud review. Dashboard numbers may be estimates until finalized.
  • Spotlink may set a minimum payout threshold, require tax/payment information, set payout schedules, or use third-party payment processors.
  • Spotlink may modify, pause, or end the referral program at any time. Changes will not affect already approved and finalized payouts unless fraud, error, chargeback, or abuse is later discovered.

7. Spotlight Placements

Spotlight placements may include enhanced visibility, category placement, zone placement, map placement, sponsored visibility, campaign placement, or other promotional positioning.

All Spotlight placements are subject to availability, eligibility, category fit, zone fit, business approval, payment status, campaign timing, content quality, and Spotlink’s review.

Spotlink may reject or remove a Spotlight placement if we believe the business, category, creative, claim, offer, or campaign creates legal risk, user risk, brand risk, poor user experience, or conflicts with platform goals.

Spotlight placement does not guarantee installs, impressions, leads, visits, calls, directions, sales, revenue, exclusive access, or any specific ranking unless explicitly stated in a signed written agreement.

8. Activation Zones

Activation zones may include local promotions, QR posters, street teams, partner outreach, driver engagement, printed materials, event presence, or other promotional activity in a specific area.

Activation zones are promotional services only. Spotlink does not guarantee foot traffic, driver participation, app installs, sales, calls, directions, customer visits, revenue, or any specific business result from an activation zone.

Spotlink may adjust activation timing, location, staffing, materials, messaging, or execution based on weather, safety, local conditions, legal restrictions, operational limits, platform needs, or campaign performance.

9. Business Analytics

Spotlink Business may provide analytics such as QR scans, referral link clicks, app install estimates, calls, directions, saves, website taps, map interactions, zone activity, and other performance signals.

Analytics may be estimates and may differ from third-party systems due to attribution windows, privacy controls, device settings, browser limitations, app store delays, fraud filtering, and technical factors.

Spotlink does not guarantee that analytics will be error-free, real-time, complete, or identical across systems.

10. Billing, Commitments, and Payment

Some Spotlink Business services may be free. Other services may require payment, subscription, campaign fee, sponsorship fee, or minimum commitment.

Paid services may include Spotlight placements, activation sponsorships, category visibility, premium listing features, multi-location packages, fleet or partner services, and other business products.

When you purchase a paid service, you agree to pay all applicable fees, taxes, and charges according to the pricing, invoice, checkout page, signed agreement, or dashboard terms presented to you.

Some placements or packages may require a minimum commitment, including a three-month minimum commitment when stated on the pricing page, invoice, or agreement.

Unless otherwise stated in writing:

  • Fees are due in advance.
  • Payments are non-refundable after campaign launch or service activation.
  • Missed or failed payments may pause or terminate services.
  • Chargebacks may result in suspension or removal.
  • Spotlink may correct pricing errors before accepting an order.
  • Taxes, bank fees, and payment processing fees are your responsibility where applicable.

11. Cancellation and Refunds

You may request cancellation of future services by contacting Spotlink at support@spotlink.app.

Cancellation does not automatically cancel amounts already owed, minimum commitments, active campaign fees, completed services, or non-refundable charges.

Spotlink may offer credits, pauses, or adjustments at its discretion, but is not required to do so unless required by law or a signed written agreement.

12. Business Content License

You grant Spotlink a non-exclusive, worldwide, royalty-free license to use, display, reproduce, resize, format, publish, distribute, and promote the business content you provide in connection with Spotlink Business.

Business content may include your business name, logo, photos, address, phone number, website, descriptions, categories, offers, hours, QR campaign materials, and other submitted content.

This license allows Spotlink to operate, market, display, and improve Spotlink Business, SpotMap, Spotlight placements, partner campaigns, QR materials, analytics, and related services.

You represent that you have all rights needed to grant this license.

13. Prohibited Businesses and Content

Spotlink may reject, remove, or restrict businesses, listings, offers, campaigns, or content that involve:

  • Illegal goods or services.
  • Fraudulent or misleading claims.
  • Fake addresses or impersonation.
  • Unsafe activity.
  • Hate, harassment, or discrimination.
  • Spam, malware, phishing, or deceptive traffic.
  • Unauthorized regulated products or services.
  • Adult, gambling, weapons, controlled substances, or other restricted categories unless specifically approved by Spotlink.
  • Content that infringes intellectual property rights.
  • Content that harms users, drivers, businesses, communities, or the Spotlink brand.
  • Spotlink may apply additional category rules at any time.

14. Platform Integrity and Anti-Fraud

You may not manipulate Spotlink systems, referral tracking, install attribution, analytics, rankings, map visibility, reviews, traffic, or user behavior.

You may not use bots, scripts, fake accounts, fake devices, install farms, unauthorized ads, deceptive landing pages, spam campaigns, or any artificial method to inflate performance or payouts.

Spotlink may investigate suspected abuse and may suspend accounts, remove listings, reverse payouts, withhold funds, cancel campaigns, block devices, or take legal action.

15. Third-Party Services

Spotlink Business may use or link to third-party services such as payment processors, analytics providers, hosting providers, email providers, app stores, map services, social platforms, or business tools.

Third-party services are governed by their own terms and policies. Spotlink is not responsible for third-party platforms, outages, fees, policies, decisions, or data practices.

16. Compliance With Laws

You are responsible for complying with all laws, rules, regulations, permits, tax obligations, advertising rules, consumer protection laws, employment rules, privacy laws, intellectual property laws, and local business requirements that apply to your business and your use of Spotlink Business.

Spotlink does not provide legal, tax, accounting, insurance, parking, traffic, or regulatory advice.

17. Relationship Between the Parties

These Business Terms do not create a partnership, franchise, agency, employment relationship, joint venture, fiduciary relationship, or exclusive relationship between you and Spotlink.

You may not represent that you are an employee, agent, official representative, or legal partner of Spotlink unless we authorize that in writing.

18. Suspension and Termination

Spotlink may suspend, limit, or terminate your account, listing, QR code, referral link, placement, campaign, or access to Spotlink Business if:

  • You violate these Business Terms.
  • Your business information is inaccurate or misleading.
  • You fail to pay amounts owed.
  • You misuse QR codes, referral links, or marketing materials.
  • You engage in fraud, spam, manipulation, or abuse.
  • Your business creates legal, safety, user experience, or brand risk.
  • Spotlink is required to do so by law, platform rule, partner requirement, or operational need.
  • You may stop using Spotlink Business at any time, subject to any active payment obligations, commitments, or agreements.

19. Changes to Spotlink Business

Spotlink may modify, pause, discontinue, rename, reprice, redesign, or limit any Spotlink Business feature, service, product, placement, dashboard, referral program, or campaign offering at any time.

We may update these Business Terms from time to time. The updated version will be posted with a new effective date. Continued use of Spotlink Business after the update means you accept the updated Business Terms.

20. Disclaimers

Spotlink Business is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Spotlink disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, performance, and uninterrupted service.

Spotlink does not guarantee that the service will be error-free, secure, uninterrupted, profitable, or available at all times.

21. Limitation of Liability

To the fullest extent permitted by law, Spotlink will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including lost revenue, lost customers, lost business opportunity, lost data, loss of goodwill, or business interruption.

To the fullest extent permitted by law, Spotlink’s total liability for any claim related to Spotlink Business will not exceed the amount you paid to Spotlink for the specific business service giving rise to the claim during the three months before the event that caused the claim, or $100 if you did not pay for that service.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless Spotlink, its affiliates, officers, directors, employees, contractors, service providers, and partners from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • Your business listing or business content.
  • Your use of Spotlink Business.
  • Your violation of these Business Terms.
  • Your violation of law.
  • Your violation of third-party rights.
  • Fraud, abuse, or manipulation connected to your account, QR code, referral link, placement, or campaign.

23. Governing Law

These Business Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Unless otherwise required by law or agreed in writing, any dispute related to these Business Terms or Spotlink Business will be brought in the state or federal courts located in New York County, New York, and you consent to jurisdiction and venue there.
